Our trust and trust-related services include:

UNIT TRUST FUND

  • The Unit Trust Fund can be set up with a professional fund manager in accordance with:
    1. the terms and conditions of the Trust Deed and Information Memorandum of the Fund; and
    2. applicable law and regulatory requirements.
  • The Fund can be invested in a diversified portfolio of securities, equity, fixed income, cash, real estate, and Units in other funds.
  • Provide proper supervision and management of the trust assets by ensuring the fund management company acts in accordance with the terms of the Trust Deed, objective of the fund, and regulatory requirements.
  • Oversee administration and accounting and provides independent Net Asset Valuation (“NAV”) report.
  • Ensure all tax related matters in respect of the trust are adhere to and submitted as required by the tax authority.
  • Ensure subscriptions, distributions and redemptions of trust is made in accordance with the trust terms.
  • Monitor and keep records of the details of fund subscription, transfers, redemptions proceeds, distributions and payments by conducting yearly, or quarterly reviews.
  • Conduct anti-money laundering checks.
  • Establish fund bank accounts and brokerage accounts.
  • Provide signatories for fund bank accounts, process payments for fund expenses, targeted investments or other obligations of the fund, and to disburse payments of income (if any) and redemption proceeds to unitholders.
  • Liaise with prime brokers on investment related transactions.
  • Process corporate actions relating to fund’s investment portfolio.
  • Perform Know-Your-Customer and Anti-Money-Laundering identification procedures on the unitholders.
  • Process subscription, transfer, redemption of units.
  • Maintain unitholders register (“Register”).
  • Distribute statements, notices of meetings, reports, financial statements, and other written material to every unitholders on the Register.
  • Arrange for meetings of unitholders.
  • Maintain accounting and financial records for the fund.
  • Perform fees calculation.
  • Perform NAV calculation.
  • Prepare annual financial statements for the fund.
  • Liaise with external auditors for annual audit (if required).

CUSTODIAN TRUST SERVICES

  • Trustee acts as an independent entity and holds, administer and safekeeping of custodian assets such as cash, property and other investments.
  • Assets are managed and protected with a very high standard.
  • Assets held under custody are registered in the name of the Custodian to prefect the transfer or the title.
  • The capital is invested in listed securities or investment funds, whilst the income arising is accumulated in an associated deposit account.
  • Establish and maintain segregated bank account and/or nominee account for all custodian assets to ensure proper segregation.
  • Proper and accurate accounting records and statements of all investments and transactions with respect to the custodian assets are kept and maintained in a professional manner.
  • Perform the calculation of efficient and timely monthly net asset value report on all payments and receivables with respect to the Custodian trust.
  • Conducts yearly or quarterly reviews to ensure proper management and administration of the trust.

EMPLOYEE BENEFIT TRUST

  • This trust is usually set up by a company or a group of companies for the benefits of their employees.
  • Investment portfolio based on the objectives of the trust to maximise the earnings of the fund in accordance with the terms and conditions of the Trust Deed.
  • Oversee the investment and funding strategy.
  • Allocation/payment of benefits to employees upon their attainment of retirement or separation from the Company.
  • Administer and review the investment to ensure growth and acceptable returns on the investments.
  • Maintain and update accounting records and submission on legal and tax matters.
  • Ensures the scheme complies with the regulatory requirements and pension legislation.

EMPLOYEE SHARE OPTION SCHEME (“ESOS”)

  • This is usually set up by a company or a group of companies for the benefits of their employees.
  • The purpose is usually to hold shares in the company for the benefit of the employees which will be defined in the scheme.
  • ESOS gives employees the right to purchase shares in the company at a specific pre-determined price, within a certain set time-frame.
  • ESOS may be useful for attracting and retaining talent as it provides them with a sense of ownership to the employees which consequently serves as a strong incentive for their longer-term commitment to the company.
